Transactions Manager at UK Real Estate Investment Firm
*UK based real estate investment firm with strong focus on European and Asian markets, seeking dynamic professionals to help further growth of Japan operations
Responsibilities
*Responsible for supervising and overseeing all aspects of real estate acquisition/disposition process, including the
followings:
- Structuring, sourcing and arranging of debt financing for real estate acquisitions
- Negotiating terms and conditions of non-recourse loans and other kinds of debt financing with banks
- Reviewing, negotiating, and delivering of debt related documents, together with external legal counsels
- Implementing investment structures, ensuring compliance with tax, legal, and regulations, based on the research
done by external advisors and other teams (Legal, Finance and Compliance) in the company
- Co-ordinating due diligence activities, liaising with professional service providers, and reviewing the reports.
- Reviewing of an appraisal report prepared by an external valuer, ensuring the appropriateness of information
provided to the valuer, and the method used by the valuer
- Assisting external legal firms with the review of legal agreements and documents, and legal filings for
transactions (e.g. LOI, PSA, SPC related regulatory documents, closing documents)
- Establishing legal entities and SPCs
- Liaising with and assisting the Finance department in relation to the execution of approved derivative
instruments (including interest rate hedging)
- Coordinating debt and equity funding process, including provision of guarantees, in conjunction with the
company’s Controller, Legal counsel, and external professional advisers, where appropriate
- Coordinating the delivery and execution of investment transactions to between the Asset Management team and
the Finance team and the Compliance team
- Liaising with Asset Management, Finance & Compliance and Company Secretarial on an on-going basis to
ensure ongoing management of investment structures in accordance with tax and legal advice, compliance with
loan covenants and compliance with rules and regulations of local jurisdictions from a tax, financial and legal
perspective.
- Monitoring internal deal checklists and sign-offs
*Supervise and mentor Underwriting, Financing and Closer staff in the department, and evaluate and improve their
performance
Requirements
*Over 5 years experience in Real Estate industry, and over 5 years experience in Real Estate transaction,
experienced in real estate financing, closing documentation and/or underwriting
*Equipped with knowledge of Japanese real estate tax, laws (esp, trust, and securitization) and regulations, Japanese
real estate trust fund and Japanese real estate tax and legal structures
*Management experience: both a project and a team
*Excellent written, presentation, leadership and client communication skills
*Familiarity with general legal documentation
*Takken license or a Real Estate Appraiser license holder is preferred
*Native level Japanese and advnaced level English
