Responsibilities
- Review and draft technology contracts, including, but not limited to, software licenses, services agreements, maintenance agreements, alliance agreements, media agreements, as well as general corporate agreements
- Work on day-to-day basis with Finance department (revenue recognition accounting team) and sales force to provide counseling on issues that arise during licensing transactions and help negotiate the wide variety of transactions relating to software sales
- Assist sales personnel with direct customer contract negotiations
- Provide support to HQ legal as needed
- Interact with local and HQ senior management to help ensure adherence to corporate licensing guidelines and other internal controls as well as sound business practices
- Provide regular status reports to HQ legal
- Research and analyze statutes, agency regulations, and case law
- Managing outside law firm services in coordination with HQ legal

Requirements
- Experience in cross-border transactions and international intellectual property matters, including copyright, trademark and basic knowledge of patent matters, as well as understanding of privacy and other technology related regulations and standards
- Experience with general corporate matters, including reviewing and negotiating office lease and other vendor agreements
- JD equivalent degree from a top Law School in Japan, with an LL.M. from a top Law School in the United States
- At least 2 years of experience with top law firm and/or legal department of multinational technology company
- Fluent in both English and Japanese
Preferred Experience
- Experience with counseling clients about licensing, copyright, and related matters in a technology environment based on local law and reviewing and drafting technology contracts based on local law including software license agreements, services agreements, maintenance agreements, reseller agreements, OEM agreements, alliance agreements, royalty based technology agreements
- Experience assisting sales personnel with direct customer contract negotiations
- Experience with employment matters a strong plus
